Authorize an Increase to the Major Construction Agreement with M3 Integrated Service, Inc., for the Cunningham House Rehabilitation Project

 
Recommendation to Council:

Adopt a resolution authorizing a new not-to-exceed amount of $309,255.50 to the Major Construction Agreement with M3 Integrated Services, Inc., for the Cunningham House Rehabilitation Project.

The recommended action supports the goal of Infrastructure. Goal Statement: Through a lens of sustainability and innovation, invest in the Town's infrastructure and public facilities to meet the needs of future generations.
Background:

On April 15, 2026, the Council awarded the Cunningham House Rehabilitation Project to M3 Integrated Service, Inc., and authorized the Town Manager to execute a Major Construction Agreement in the amount of $267,505 with a 10% contingency of $26,750.50 for a not-to-exceed amount of $294,255.50.

The project began on July 7, 2026, and given the age of this house, it was anticipated that change orders could occur. To-date, there have been several change orders based on conditions that have been discovered. There are three addition items which have been identified; however those items exceed the current not-to-exceed authority of the Agreement.

The cost of the three potential change orders is $15,578.36.  Currently, there is $4,979 remaining in contingency, leaving $10,599.36 needed to authorize and execute the change orders. 

Discussion:

Staff is requesting Council authorize a new not-to-exceed amount of $309,255.50 to the Major Construction Agreement with M3 Integrated Services, Inc., for the Cunningham Rehabilitation Project. The increase in funds will allow for the potential change orders to be completed and leave a balance of $4,400.64 to cover any remaining minor change orders which may occur during the close-out of the project.

Fiscal Impact:

This increase to the not-to-exceed will be reimbursed by the Windsor Historical Society and will not impact the General Fund.

Environmental Review:

This action does not constitute a "project" within the meaning of California Environmental Quality Act (CEQA) Guidelines Section 15378 and requires no environmental review.
