CONSENT AGENDA
On March 20, 2025, County and Papich Construction Company, Inc. (Papich), Contractor’s predecessor by merger, entered into a contract for the County Project #PWB-2418, 2025 Job Order Contracting (JOC) – Class A License Engineering.
On September 9, 2025, County issued a Notice to Proceed to Papich for the San Juan Highway Rehabilitation Project, Project Number PWB-2520 (Project), in which scope of works had been completed sometime in June 2026.
Effective January 1, 2026, Papich merged with and into Granite Construction Company (“Granite”), with Granite as the surviving corporation. Accordingly, Granite is the successor to Papich under the original contract. All references in the original contract and Contract Documents to “CONTRACTOR,” “Contractor,” or Papich Construction Company, Inc. shall hereafter mean Granite Construction Company. Granite succeeds to all rights, duties, obligations, liabilities, warranties, indemnities, and other responsibilities of Papich arising under or relating to the original contract, including those arising from work performed before the effective date of the merger.
In order for Granite to be paid for the works being done for the Project, a contact amendment is necessary for the merger between Papich and Granite with Granite as the surviving corporation.
The San Juan Highway Project had been budgeted in FY2025-2026 and budget had been carried over to FY2026-2027.
1. Approve Amendment #1 for Granite Construction Company to modify name of the company as Papich Construction, Inc. has merged with and into Granite Construction Company (Granite) with Granite as the surviving corporation; and
2. Authorize the Chair, County Executive Officer, or designee to approve the Amendment.
